Boeing purchases Spirit AeroSystems for $4.7 billion

In a new twist on Biggie’s #4 commandment – never get high on your own supply – Boeing is buying Spirit AeroSystems, a major supplier that helps its planes get high.

In an announcement released yesterday, the two aviation companies revealed deal terms:

  • Spirit AeroSystems will receive $4.7 billion in Boeing stock. Boeing will also assume Spirit’s $3.6 billion in debt.
  • The transaction was also complicated by the fact that Spirit AeroSystems – which makes the body of the 737 Max and parts of the 767, 777, and 787 for Boeing – also supplies Airbus, Boeing’s major planemaking rival. As part of the deal, Boeing will spin off parts of Spirit and sell it to Airbus.

Big picture: This acquisition marks a strategic shift for Boeing, the world’s biggest commercial plane manufacturer, which started relying more extensively on independent suppliers in the early 2000s to cut costs and raise profits. Spirit was created during that outsourcing drive in 2005, when Boeing sold a division in Wichita, Kansas, and operations in Oklahoma, the NY Times reports.

However, quality issues have plagued Boeing in recent years. Purchasing Spirit AeroSystems, which did work on the Alaska Airlines’ plane whose door panel blew out mid-flight in January, provides the planemaker with more input and control over the production process.

⚖️ In other Boeing news… The US government is set to criminally charge the planemaker with fraud over two fatal 737 MAX crashes, and has reportedly given Boeing until the end of the week to either plead guilty and pay a settlement or face trial.

🇬🇧 Nearly two dozen UK officials are under investigation for betting on the election date. Around 15 members of the ruling UK Conservative Party are being probed by gambling regulators for placing small bets on a potential election date days before PM Rishi Sunak announced a surprise general election for July 4. Additionally, PM Sunak’s personal protection officer and seven other Metropolitan Police officers are under investigation for allegedly betting on the date. UK politicians are allowed to bet on politics (and do regularly), as long as they don’t cheat by using insider information.

🇨🇳 China declared all local rare-earth resources property of the state. The new regulation, which takes effect in October, extends Chinese government oversight to the entire production process of rare earth resources, which are critical to manufacturing semiconductors and EVs. China currently accounts for 60% of the world’s rare earth production and 90% of all refining.

🇧🇴 Bolivia’s president is facing accusations that he staged last week’s failed coup attempt against himself. On Wednesday, General Juan José Zúñiga attempted to breach Bolivia’s presidential palace with hundreds of troops, but was eventually stopped and arrested. Zúñiga claims President Luis Arce ordered him to stage a fake coup to boost Arce’s popularity ahead of presidential elections, which Arce denies. Bolivia's former president also accused Arce of staging a self-coup, though there isn't any evidence of such actions.

Beryl marks a warning sign for this year’s hurricane season

Hurricane Beryl, which made landfall yesterday on the Caribbean island of Carriacou with wind speeds just shy of a Category 5 storm, is providing evidence to support weather forecasters’ worst-case scenarios for the 2024 hurricane season.

Let’s break it down: Hurricane Beryl has shattered records for rapid intensification and overall strength at this time of year.

  • The storm took 42 hours to strengthen from a tropical depression to a major hurricane – a faster pace than all but six storms in Atlantic hurricane history, with those six all coming after September 1.
  • Beryl is also the earliest Atlantic hurricane on record to intensify into a Category 4 storm, beating the previous early mark by nine days (based on data that stretches back 174 years).

From prediction to nonfiction

Experts mainly attribute Beryl’s historic strength and rapid intensification to the combination of record-hot Atlantic Ocean temperatures – part of a global spike that has lasted for 14 months – and a developing La Niña climate cooling cycle in the Pacific Ocean.

  • These same conditions were used as the main evidence for earlier predictions from numerous private sector and university research groups – as well as the NOAA – indicating an extremely active Atlantic hurricane season through November.

👀 Looking ahead… The NOAA currently predicts between 17-25 named storms will emerge this season, including 8-13 hurricanes and 4-7 major hurricanes. An average season produces 14, 7, and 3, respectively.

“[The president] is entitled, at a minimum, to a presumptive immunity from prosecution for all his official acts.”

  • In a 6-3 decision published yesterday, the US Supreme Court ruled that former Presidents have broad immunity for their “official” acts while serving as President, but "no immunity for unofficial acts." In the majority opinion, the Court’s six conservative-leaning Justices said that without such immunity, Presidents might hesitate to take bold action that furthers America’s national interests for fear of future prosecution. In the dissent, the Court’s three liberal-leaning Justices argued the decision violates one of America’s core constitutional and democratic principles that no person is above the law. The Court’s decision narrows the Washington criminal case against former President Trump on charges he plotted to overturn the 2020 presidential election results, and returns the case to the trial court to determine whether Trump’s actions were official (and thus covered by immunity). As a result, Trump’s case is all-but-guaranteed to avoid heading to trial before the November presidential election.
